Terms of Business

Three things fall under these terms: requests submitted through cmmcalibrationkansascity.com, the quotations issued in response to them, and the performance of CMM Calibration and related work arranged through this site. Acceptance is by conduct — submitting a request, or accepting a quotation issued in response to one. Where a signed supply agreement or agreed purchase-order terms are already in place, that agreement takes precedence over these terms to the extent of any conflict.

No quotation is issued without a review first. The review settles three questions: whether the requirement is stated clearly and understood, whether the method, range and measurement capability needed are available, and whether the laboratory selected to carry out the work is competent to perform it.

Statements of conformity bring one more step with them. The decision rule to be applied is agreed in writing before work begins, along with the specification the item is to be assessed against. Any requirement that changes after acceptance sends the review round again, and the change is confirmed to the customer before work continues. Any request that cannot be met as specified is declined or returned with an alternative scope, and never accepted and quietly reduced.

Quotations are issued in writing and are valid for thirty (30) days from the date of issue unless a different period is stated on the quotation itself. Each one is built from the item description, quantity, measurement points, tolerances and turnaround supplied with the request.

Sometimes the item that arrives is not the item described: additional channels, a wider range, damage, or a condition needing repair before measurement is possible. Work is then held while a revised quotation is issued, and does not proceed until that revision is approved in writing.

Turnaround is stated in business days. It runs from whichever comes later: receipt of the item, or receipt of written approval to proceed. Where capacity allows, expedited handling is available and is quoted separately. Every commitment is given in good faith against current capacity, and a commitment that cannot be met is notified as soon as the delay is known, with a revised date.

Items must be shipped in protective packaging adequate for transit, together with any accessories, fixtures, cables or software needed to complete the work. Transit risk in both directions rests with the customer unless carriage has been arranged and charged on the quotation.

Items found to be unsafe, contaminated, or outside the condition accepted at review are returned unworked, and the reason is stated. Completed items are held at the customer's risk after the collection or despatch period agreed on the quotation.

Certificates and items are released against payment in full, unless a credit account has been approved in advance; on an approved account, invoices are payable net thirty (30) days from the date of invoice.

Prices exclude taxes, duties and carriage unless stated otherwise on the quotation. Interest on an overdue balance may be charged at the lower of one and one-half percent (1.5%) per month or the maximum permitted by law. Further work may be suspended while an account is overdue.

Certificates and reports are issued by the laboratory that performed the work and remain that laboratory's technical record. On payment in full, the customer holds an unrestricted right to keep, copy and use the certificate for its own quality, audit and regulatory purposes.

Certificates are issued as a complete document and may be reproduced only in full. Partial reproduction requires written approval. Copies are retained for the period stated in the performing laboratory's records policy and can be reissued against the original certificate number.

Everything obtained or created in the course of a request is confidential — drawings, specifications, tolerances, measurement results, and the existence of the engagement itself. Access is limited to the personnel and providers who need it to complete the work. Two exceptions are stated: disclosure required by law, and disclosure to an accreditation body exercising its rights of access. Where the law requires disclosure, the customer is notified unless that notification is itself prohibited.

Work is performed with reasonable skill and care, in accordance with the methods and standards stated on the quotation and on the resulting certificate. Where work is shown to be defective, the remedy is re-performance of the affected work, or a refund of the amount paid for it, at the customer's election.

To the maximum extent permitted by law, total liability arising out of any engagement is limited to the amount paid for the work giving rise to the claim, and no liability is accepted for loss of profit, loss of production, loss of contract, or any indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.

The laws of Missouri govern these terms, without regard to conflict-of-law principles. Claims are brought in the courts of that jurisdiction unless a different forum has been agreed in writing.

Revision is possible. Whichever version is published at cmmcalibrationkansascity.com on the date a quotation is issued is the version that applies to that engagement. The privacy policy, the disclaimer and the complaints and appeals carry the related terms.
